1) Who we are and what these Terms cover

These Terms of Use (“Terms”) govern your access to and use of the website located at trafficmgmtsolutions.com (the “Site”), which is operated by Traffic Management Solutions, LLC (“TMS,” “we,” “us,” or “our”). TMS provides specialty contracting services to the transportation market, including intelligent transportation systems (ITS), tolling, highway lighting, signing, signalization, and underground solutions.

2) Acceptance of Terms

By accessing or using the Site, you agree to these Terms and to our Privacy & Cookie Policy. If you do not agree, do not use the Site.

3) Changes to the Site and to these Terms

We may modify the Site or these Terms at any time. Changes are effective when posted. Your continued use indicates acceptance of the updated Terms.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TMS AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE WILL NOT EXCEED US$100.

12) Indemnification

You agree to defend, indemnify, and hold harmless TMS and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Site or violation of these Terms.

13) Governing Law; Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict‑of‑laws rules. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Palm Beach County, Florida for any dispute arising out of or relating to the Site or these Terms.

14) Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason. Upon termination, Sections 6–15 survive.

15) Export Controls

You must comply with all applicable export and re‑export control laws and regulations.

16) General

These Terms constitute the entire agreement between you and TMS regarding the Site and supersede prior agreements regarding the Site. If any provision is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver.
